The use of this site or any other site owned or maintained by Vidutopia, LLC, a limited liability company organized an existing under the laws of the State of Texas ("Vidutopia") is governed by the policies, terms, and conditions set for below. BY USING, VISITING, ACCESSING OR SUBMITTING CONTENT TO THIS WEBSITE, YOU SIGNIFY YOUR ASSENT TO THE TERMS AND CONDITIONS OF BOTH THIS AGREEMENT AND THE VIDUTOPIA PRIVACY STATEMENT INCLUDED HEREIN BY REFERENCE. You may never use another person's membership account without their permission. When creating your membership account you must provide accurate and complete information, and all required information must be current, complete, and accurate and kept up to date. This is especially important if you plan to purchase or provide Content through Vidutopia's website as this information will potentially be used to process and send purchased Content or Royalty payments to you depending on the nature of the transaction, and incorrect or incomplete information may result in the delay or loss of these orders. It is your sole responsibility to keep your membership account number, user name, password, and other sensitive information confidential. If you become aware of any unauthorized use of your membership account or any other breach of security, you agree to notify Vidutopia immediately. Vidutopia reserves the right to establish different levels of membership, to charge for membership, and to change the terms of membership at any time without notice. You are solely responsible for the activity that occurs on your membership account. Vidutopia will not be liable for your losses caused by any unauthorized use of your membership account, but you may be liable for the losses of Vidutopia or others due to such unauthorized use.

Vidutopia, in its sole discretion may (but has no obligation to) monitor or review any Content uploaded to or available on the website at any time. Vidutopia may at any time without notice and at its sole discretion; (1) terminate access to or use of any Content or any area of the Vidutopia website; and (2) disclose any information related to your use of Content or the substance of your Member Content if it is deemed reasonable to do so, including disclosure to credit agencies, collection agencies, merchant database agencies, law enforcement, or for litigation or to satisfy laws, such as the Electronic Communications Privacy Act, the Child Online Privacy Act, regulations, or governmental or legal requests for such information. You agree to use extra care when disclosing any personally identifiable information and yourself or your children or dependents when you post or otherwise submit any Content.

You should be aware that when using the Vidutopia website, you will be exposed to Content from a wide variety of sources, and that Vidutopia is not responsible for the accuracy, usefulness, safety, or intellectually property rights of or relating to such Content. You further understand and acknowledge that you may be exposed to Content that are inaccurate, offensive, indecent, or objectionable, and You agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Vidutopia with respect thereto, and agree to indemnify and hold Vidutopia, its officers, directors, employees, agents, associates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the Vidutopia website.

Vidutopia reserves the right to discontinue any aspect of the Vidutopia website or Content at any time. Vidutopia may block, restrict, disable, suspend, or terminate your access to all or part of the Vidutopia website and Content at any time in Vidutopia's sole discretion, without prior notice or liability to you.

Due to technical difficulties with the Internet, Internet software or transmission problems could produce inaccurate or incomplete copies of information contained on this website. Computer viruses or other destructive programs or software may also be inadvertently downloaded from this website. Vidutopia shall not be responsible or liable for any software, computer viruses or other destructive, harmful or disruptive files or programs that may infect or otherwise impact your use of your computer equipment or other property on account of your access to, use of, or browsing on this website or downloading of any of the Content from this website. Vidutopia recommends that you install appropriate anti-virus or other protective software. Additionally, you agree not to use or launch any data mining or extraction methods or automated systems, including without limitation, "robots", "spiders", and "offline readers", that access the Vidutopia website in a manner that sends more request messages to the Vidutopia servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. All Content (including the organization and presentation of such materials) on this website is owned by or licensed to Vidutopia and is protected by intellectual property laws including laws relating to copyrights, patents, trademarks, trade names, trade secrets, internet domain names, and other similar rights, and any unauthorized use of the Vidutopia Content may violate such laws and this agreement. Vidutopia does not grant any express or implied rights to use the Vidutopia Content. Vidutopia Content is provided to you "As Is" for your informational, educational, and personal, non-commercial use only. You agree not to copy, reproduce, distribute, republish, frame, download, transmit, modify, adapt, create derivative works based on, rent, lease, loan, sell, assign, display, perform, license, sublicense, or reverse engineer all or any part of the Vidutopia website or Content, except as expressly authorized herein.

The trademarks, logos and service marks "Marks" displayed on the Vidutopia website and Content are the property of Vidutopia or other third parties. You are not permitted to use the Marks without the prior written consent of Vidutopia or appropriate third party owner of said Mark, and this agreement conveys no express or implied rights to use such Marks. Vidutopia, the Vidutopia Logo, and animated versions of the Vidutopia logo including associated music and sound effects are trademarks of Vidutopia. No marks, graphic, video, sound, or image from the Vidutopia website or Content may be copied or retransmitted unless prior written permission is obtained form Vidutopia.

Content encompassing any software code, including programs, tools, utilities, files, and otherwise and accompanying documentation that are made accessible via the Vidutopia website "Software" are the copyrighted and/or patented and/or patent pending property of Vidutopia or its affiliates. Absent a license agreement that accompanies a specific piece of Software, use of the Software in question will be subject to the terms of this agreement. You agree not to decompile, reverse engineer or otherwise attempt to discover the source code of the software. Any copying or redistribution of the Software to any other server or location for further reproduction, redistribution, or use in a commercial basis is prohibited.

Vidutopia allows for the submission of videos and other Content by you and other Members which are then hosted, published, and offered for sale via the website and other distribution channels such as DVD and Blu-Ray Disc("Membership Content"). Whether or not your Member Content is published, Vidutopia does not guarantee any confidentiality with respect to your Member Content. Additionally, Vidutopia has complete discretion as to whether or not to accept or reject your Member Content, or to transfer your Member Content from one portion of the Vidutopia website to another, or whether to modify or offer that content in various other electronic formats including but not limited to streaming, downloadable, or DVD and/or Blu-Ray Disc. Furthermore, Vidutopia reserves the right to remove all or part of your Member Content from the Vidutopia website and the right to block, restrict, disable, suspend, or terminate access to all or part of your Member Content at any time in Vidutopia's sole discretion, without prior notice or liability to you.

You are solely responsible for your Member Content and the consequences of posting or publishing it. Vidutopia does not endorse your Member Content or any opinion, recommendation, or advice expressed therein, and Vidutopia expressly disclaims any and all liability in connection with your Member Content. As it relates to your Member Content, You hereby affirm, represent, and warrant that (1) You own or have the necessary licenses, rights (including without limitation privacy, property, and publicity rights), consents, and permissions to use and authorize Vidutopia to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all of your Member Content to enable inclusion and use of your Member Content in the manner contemplated and set forth in this agreement; (2) You have no knowledge as to any third party claims regarding the proprietary right in and to any of your Member Content which would interfere with the rights granted by you under this agreement; (3) Your member content is not defamatory or obscene; (4) to the best of your knowledge your Member Content is accurate and truthful and does not contain misrepresentations or falsehoods that could damage Vidutopia or its associates; (5) You have the written consent and/or permission of each and every identifiable individual in your Member Content to use their name, likeness, or representation as contemplated by the Vidutopia website and this agreement; (6) Your Member Content is not defamatory, harassing, libelous, threatening, or obscene; (7) Your Member Content does not contain illegal material nor encourages conduct that would be considered a criminal offense, give rise to civil liability, or is otherwise inappropriate; (8) Your Member Content does not contain advertisements or solicitations for business nor impersonates another person; and (9) Your Member Content does not contain material which denigrates or attacks any persons based on race, religion, national origin, sexual orientation or the like.

By submitting your Member Content to Vidutopia, you hereby grant Vidutopia the right to use, reproduce, distribute, modify, prepare derivative works of (including without limitation, to rename, edit, shorten, split or combine videos or segments, and use the entire video or segments to create compilations), transmit, display, and perform your Member Content in connection with the Vidutopia website, other media formats and channels (including without limitation online streaming Content, Content downloads, and DVD and Blu-Ray Disc Content), and this agreement. Further, you hereby grant to Vidutopia the right to display advertising in connection with the use, reproduction, display, distribution and performance of your Member Content without additional remuneration to you. You further acknowledge that you are aware that Vidutopia has limited practical ability to control or monitor possible infringement by other parties of your intellectual property rights in you Member Content and that Vidutopia assumes no responsibility or liability for unauthorized downloads or copies of your Member Content. You further grant each user of the Vidutopia website the right to use, access, display, or perform your Member Content, in whole or in part, as permitted through the functionality of the Vidutopia Website and under this agreement for personal, educational, or non-commercial use. These rights will survive notwithstanding any subsequent removal or deletion of your Member Content from the Vidutopia website.

Vidutopia does not permit copyright infringing activities and will remove Your Member Content if properly notified that your Member Content infringes on another's intellectual property rights. Furthermore, repeat offenses of infringement will result in the termination of a User's access to the Vidutopia website. Vidutopia respects the copyright of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide Vidutopia with a written communication including the following information:

You acknowledge that if you fail to comply with all of the requirements set forth above, your notice may not be valid. Please also not that, under Section 512(f) of the U.S. Copyright Act, any person who makes a false claim of infringement is liable to anyone who suffers any damages because of that misrepresentation, including court costs and attorney's fees.

Content is available for purchase upon payment of the then-current price for that particular Content as determined by Vidutopia. Vidutopia reserves the right to change the price for any piece of Content at any time in its sole discretion and without prior notice or liability to you. You may preview Content and read author-submitted summaries or descriptions as well as User or Member ratings, if any, without any obligation to pay for such Content.

Once the order is accepted and payment is received and depending on the type of product purchased, you will be permitted to view, download, or order via mail the Content for future viewing and use. Specific Content should be viewed online or downloaded within 30 days following purchase or it may not be available for further viewing or downloading; however, if that Content is to be removed from the Vidutopia website prior to the expiration of such 30 day period, Vidutopia will exercise commercially reasonable efforts to notify you of such a shortened time period. Vidutopia is not liable to you for any failure on your part to download Content within the allotted time period and you will not be entitled to a refund of purchase costs paid in connection with such Content. Furthermore, ALL SALES ARE FINAL and are non-refundable, even in cases of general dissatisfaction with or non-performance of the Content including, but not limited to, quality or technical issues.

Your electronic order confirmation, or any form of confirmation, does not signify our acceptance of your order. Vidutopia reserves the right to accept or deny shipment to anyone for any reason. Vidutopia reserves the right to require additional information before processing any order. If an order appears fraudulent in any way, Vidutopia reserves the right to cancel the order, notify the card holder and the proper authorities.

We accept U.S. issued credit and debit cards (approved cards listed below) and Paypal transactions:

1. The address the card's statement is sent to (billing address).
2. The card number and expiration date.
3. The 3 or 4 digit code found only on the card (CVV2 code).

Company ships orders within the 50 United States via UPSP Priority Mail. Depending on product availability, orders shipped usually arrive within 7 to 10 business days. Accurate shipping address and phone number are required. Your signature may be required for delivery.

Because many instances may occur at your delivery address that are beyond our control, you agree that any delivery confirmation provided by the carrier is deemed sufficient proof of delivery to the card holder, even without a signature.

All references to a "chargeback" refer to a reversal of a credit/debit card charge placed on www.vidutopia.com. There is no reason for a chargeback to ever be filed. If a credit is due, simply contact us and we will gladly issue it. Unnecessary chargebacks are theft and can be prosecuted. If you feel that your credit/debit card was used fraudulently on www.vidutopia.com, please contact us for immediate resolution.

YOU AGREE THAT YOU WILL NOT CHARGEBACK ANY AMOUNTS CHARGED TO YOUR CREDIT/DEBIT CARD ON THIS SITE. IF YOU CHARGEBACK A CREDIT/DEBIT CARD CHARGE FOR A PAYMENT INITIATED BY YOU, YOU AGREE THAT VIDUTOPIA MAY RECOVER THE AMOUNT OF THE CHARGEBACK BY ANY MEANS DEEMED NECESSARY, INCLUDING BUT NOT LIMITED TO RECHARGING YOUR CREDIT/DEBIT CARD OR HAVING THE AMOUNT RECOVERED BY A COLLECTION AGENCY.

You will receive royalty payments upon the sale of Your Member Content through the Vidutopia website ("Royalty"). These Royalty rates are based on the distribution format purchased by the customer and are currently set at 50% of the purchase price for streaming video content and 25% of the purchase price for DVD or Blu-Ray Disc sales only and not including any sales tax or shipping and handling costs. Vidutopia reserves the right to change Royalty rates at any time in its sole discretion and without prior notice or liability to you. Notwithstanding the foregoing, You acknowledge and agree that Vidutopia may, from time to time, offer particular Members complimentary Content or coupons to purchase any Content on the Vidutopia website free of charge, including your Member Content, and that you will receive no royalties in connection with such a transaction.

Vidutopia will pay you royalties at your request, but in no event earlier than 30 days following receipt by Vidutopia of applicable fees, and only when accrued unpaid royalties equal or exceed $50. All payments will be made in U.S. dollars and are payable by check or to your Paypal account. You acknowledge that your bank or Paypal may apply a processing or other fee on the royalties and that you are responcible for such fees. You are also solely responsible for reporting and paying any applicable tax or tariffs on royalties. If you do not believe that royalties paid to you have been accurately calculated, you must notify Vidutopia of such belief within 30 days following payment of such royalties. Your failure to notify Vidutopia within such a time frame will constitute your waiver of any such claims you may have relating to Vidutopia's calculation and payment of such royalties. Vidutopia will exercise good faith efforts to resolve any such issue brought to its attention, but Vidutopia's resolution will be final. In the event that you earn more than $500 in one calendar year, Vidutopia will require you to provide to us your social security number or other tax identification number for tax reporting purposes. Your social security number or tax identification number shall be used only for tax reporting purposes and not otherwise disclosed to any third party.

Unpaid royalties will not accrue interest, and unpaid royalties over 12 months old maybe subject to fees or relinquishment, as Vidutopia may determine at its sole discretion. Vidutopia will make commercially reasonable efforts to notify you of any unpaid royalties, but will not be liable to you if you fail to receive or if you disregard such notice.

Vidutopia will have no obligation to pay any royalties, and is permitted to deduct or withhold any amounts from or posted to your Membership Account determined or reasonably determined by Vidutopia in its sole discretion to have resulted from the violation by you or your Member Content of any provision of this agreement. Further, Vidutopia reserves the right to withhold or deduct payment of royalties, or suspend your membership account pending its investigation of any such violations.

VIDUTOPIA MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURCY, OR COMPLETENESS OF ANY INFORMATION ON THIS SITE. VIDUTOPIA DOES NOT REPRESENT OR WARRANT THAT (A) THE USE OF THE SITE WILL BE SECURE, TIEMLY, UNINTERRUPTED OR ERROR-FREE OR OPERATIN IN A COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA, (B) THE SITE OR VIDUTOPIA'S PRODUCTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (C) ANY STORED DATA WILL BE ACCURATE OR RELIABLE, (D) THE QUALITY OF ANY PROVUDES, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY WILL THORUGH THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (E) ERRORS OR DEFECTS WILL BE CORRECTED, OR (F) THE SERVICE OF THE SERVER(S) THAT MAKE THE SERVICE AVAILABLAE ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. THE SERVICE AND ALL CONTENT ARE PROVIDED TO YOU STRICTLY ON AN "AS IS" BASIS. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE MAXIUM EXTENT OF THE LAW PERMITTED BY APPLICABLE LAW BY VIDUTOPIA.

YOU SHALL ASSUME ALL RESPONSIBILITY AND RISK FOR USE OF THIS WEBSITE AND CONTENT INCLUDING WITHOUT LIMITATION ANY OF THE INFROMATION CONTAINED THEREIN. IN NO EVENT SHALL VIDUTOPIA OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, PARTNERS, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFITS, INTERRUPTION, LOSS OF BUISNESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) IN CONNECTION WITH ANY CLAIM, LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING ARRISING UNDER OR OUT OF THESE TERMS OF USE, INCLUDING; (1) ERRORS, MISTAKES, OR INACCURACIES OF ANY CONTENT; (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE VIDUTOPIA WEBSITE AND CONTENT; (3) ANY UNATHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; AND/OR (4) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULTS OF THE USE OR ACCESS, OR CESSATION OR SUSPENSION OF USE OR ACCESS, TO ANY CONTENT POSTED, EMAILED, TRANSMITTED, SHIPPED, STORED OR OTHERWISE MADE AVAILABLE VIA THE VIDUTOPIA WEBSITE.

IN ANY EVENT, THE TOTAL MAXIMUM AGGREGATE LIABILITY UNDER THESE TERMS OF USE OR THE USE OR EXPLOITATION OF ANY OR ALL PARTS OF THE WEBSITE OR CONTENT IN ANY MANNER WHATSOEVER SHALL BE LIMITED TO FIVE ($50.00) U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Vidutopia, its officers, directors, employees, shareholders, partners, and agents from and against any and all claims, liability, damages, obligations, losses, costs, and expenses arising from; (1) Your access to and use of the Vidutopia website; (2) Any breach by you or anyone acting on your behalf of any of term or provision of this agreement; (3) any claim of damaged caused to a third party by your Member Content; or (4) Your violation of any third party right including but not limited to, copyright, property, patent, trade secret, or privacy right. This indemnification obligation will survive this agreement and your use of the Vidutopia website and/or Content.

You agree that; (1) the Vidutopia website shall be deemed solely based in Texas; and (2) the Vidutopia website shall be a passive website that does not give rise to personal jurisdiction over Vidutopia, either specific or general, in jurisdictions other than Texas. The agreement shall be governed by the laws of the State of Texas. Any federal or state court located in Travis County, Texas has exclusive jurisdiction over any claim or dispute between you and Vidutopia that arises in whole or in part from the Vidutopia website or Content. You agree that you are subject to the personal jurisdiction of such courts for disputes between you and Vidutopia that arise in whole or in part from the Vidutopia website or Content. Furthermore, those who access or use the Vidutopia website from other jurisdictions do so at their own volition and are responsible for compliance with local law. Vidutopia makes no representations that the Vidutopia website or Content is appropriate or available for use in other locations.

Vidutopia's failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be considered as a waiver of any provision or right. This agreement together with the Privacy Statement and any other legal notices published by Vidutopia on the Vidutopia website shall constitute the entire agreement between you and Vidutopia concerning the Vidutopia website and Content. In any provision of this agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such a provision shall not affect the validity of the remaining provisions of this agreement, which shall remain in full force and effect.
